Membership Agreement

Ⅰ- Membership Agreement

The Membership Agreement is set between Gallery Rare Ltd. (Hereinafter referred to as “Gallery Rare”) and registered Members of the Gallery Rare Shopping Website (Hereinafter referred to as “Website”) to mutually agree on the terms and use of the service.

Ⅱ – Membership Definition

A Member is defined as an individual user who has opted to create and has completed account registration on the Website, and is over 20 years old at the time of registration, or first purchase.

Ⅲ - Membership Cancellation

A Member can cancel their membership and stop using services on the Website at any time.

Ⅳ - Membership Suspension and Termination

In the event that a Member conducts one or more of the following actions, Gallery Rare can suspend the Member’s use of services or terminate the membership without notice.

  1. Acts that disrupt the operation of Gallery Rare’s business by providing false information or intentionally choosing not to provide updated information upon membership registration.
  2. Acts that breach the User Membership Agreement.
  3. Acts related to, or the Member has relations with, antisocial forces.
  4. Any other acts that Gallery Rare deems inappropriate as a Member of the service.

Ⅴ - Prohibitions

A Member is prohibited from conducting one or more of the following actions.

  1. Acts that violate the terms of use of the service provided by Gallery Rare.
  2. Acts that cause nuisance, damage, or inflict loss to Gallery Rare or third parties.
  3. Acts contrary to public order and morals or violations of laws and regulations.
  4. Acts of deceit through providing false or misleading information during membership registration.
  5. Acts of sending computer viruses, files, or programs through e-mail to Gallery Rare to intentionally damage, restrict, or destroy the functionality of computer software, hardware, or other communication equipment.
  6. Acts of registering multiple membership accounts without justifiable grounds.
  7. In addition to the preceding actions, acts that damage the reputation of Gallery Rare or any other acts deemed inappropriate by Gallery Rare.

In the event that a Member violates any terms stated in the preceding clause and causes damages to Gallery Rare or third parties, the Member shall be solely responsible for all the damage it incurs.

Ⅶ - Membership Agreement Amendments

In the event that Gallery Rare is required to make amendments to the Membership Agreement, Gallery Rare can amend the agreement without prior consent of Members. If an amendment is necessary, Gallery Rare shall set a date in advance when these amendments will take effect and announce the amendments on the Website 14 days before the effective date. The amended Membership Agreement shall come into effect from the effective date.

Ⅷ - Disclaimer

In the event of losing membership data due to technical issues with computer equipment, website, server data, or any other communication-based service required to operate the service, Gallery Rare can suspend the service and delete membership data immediately, without notice.

In the event that a Member inflicts damages to another Member or third party while using the service, the Member must settle the matter at his/her own risk and expense, and shall not cause any inconvenience or damage to Gallery Rare.

Gallery Rare shall not be liable for any damages that result from the loss of membership data or the inability to use the service.

Ⅸ - Governing Law and Jurisdiction

The services shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising from or in relation to the use of the services shall be subject to the jurisdiction of the Osaka District Court or Osaka Summary Court as the court of first instance.

会員規約について

1.会員規約

会員規約は、株式会社ギャラリーレア（以下｢当社｣という）の運営するGallery Rareショッピングサイト（以下｢サイト｣という）の利用について、当社と会員が遵守する事項を相互に承認する為に定めるものとします。

2.会員の定義

会員とは、当社に対して会員サービスの入会を申し込み、当社所定の手続きを完了し、当社が承認した個人（商品購入時点で20歳以上の方）をいいます。

3.会員の退会

会員は、いつでも本サービスの利用を終了することができます。

4.本サービスの利用停止及び会員登録の取消し

会員が以下の各号に掲げる事由のいずれかに該当する場合、当社は予告なく本サービスの利用停止又は会員資格の喪失を行うことができるものとします。

  1. 会員登録内容に虚偽記載がある又は所定の変更手続等がないために、当社の業務に支障が生じた場合
  2. 本会員規約に違反した場合
  3. 当社が反社会的勢力に該当すると判断した場合
  4. その他、当社が会員として不適切であると判断した場合

5.禁止事項

1.会員は、次の各号の行為を一切行ってはならないものとします。

  1. 本規約及び当社が提供する各サービスの利用規約に違反する行為
  2. 当社又は第三者に迷惑、不利益、損害を与える行為又はそれらのおそれのある行為
  3. 公序良俗に反する行為、その他法令に違反する行為又はそれらのおそれのある行為
  4. 虚偽又は誤解を招くような内容を含む情報を登録する行為
  5. コンピュータのソフトウェア、ハードウェア、通信機器などの機能を妨害、破壊又は制限するように設計されたコンピュータウイルス、ファイル、プログラムなどをメールなどの手段で当社に送信する行為
  6. 会員が、正当な理由なく複数の会員登録をする行為
  7. 上記各号のほか、当社の信用を毀損、失墜させる行為又は当社が不適当であると合理的に判断する行為

2.前項の定めに違反して当社又は第三者に損害が生じた場合、当該会員はその損害を全て賠償する責任を負うものとします。

■個人情報の取扱い

個人情報の取扱いに関しては当社の「プライバシーポリシー」をご確認ください。

■会員規約の変更・終了

当社は、会員サービスの運営上の必要がある場合、会員の承諾なしに必要な範囲で本会員規約を変更できるものとします。本会員規約を変更する場合には、あらかじめ効力発生日を定め、効力発生日の14日前までにGallery Rareショッピングサイト上で変更後の規約の内容を会員に公表するものとします。変更後の規約は、効力発生日から効力を生じます。 

■その他免責事項

当社は、本サービスを提供するためのコンピュータ機器や通信機器等の故障およびトラブルならびに通信回線の障害等により、会員のデータが消失若しくは判読不可能になった場合、当社は通知を要せず無条件で直ちに会員登録の取消又は本サービスの停止をすることができるものとします。
会員が、本サービスを利用したことにより、他の会員又は第三者に対して損害等を与えた場合、会員は自己の責任と費用において解決し、当社に対して何等の迷惑又は損害等を与えないものとします。 当社は、会員データが喪失したこと、又は会員が本サービスを利用できないことにより発生した一切の損害について、いかなる責任も負わないものとします。

■準拠法

会員規約の有効性、解釈は日本国法に準拠し、同法に従って解釈されるものとします。

■裁判管轄

本会員規約に関して会員と当社との間で紛争が発生した場合、大阪簡易裁判所又は大阪地方裁判所をもって第一審の専属的合意管轄裁判所とします。
